Article I

NameThis organization shall be known as Société statistique de Montréal/Statistical Society of Montréal, hereinafter, referred to as the Society.

AffiliationThis Society shall be affiliated with the Statistical Society of Canada as the Montréal Regional Association of the Statistical Society of Canada/L'Association régionale de Montréal de la Société Statistique du Canada, and with the American Statistical Association as the Montréal Chapter of the American Statistical Association.
Article II - PurposeThe purpose of this Society shall be to foster, in the broadest manner, Statistics and its Applications, and to promote unity and effectiveness of effort among all groups in the greater Montréal area having an interest in or being concerned with statistical problems.
Article III - MembershipThe membership of this Society shall be of the following types:

Full MembersPersons holding a membership in the American Statistical Association or the Statistical Society of Canada

Associate MembersPersons interested in statistics in general or the local organization in particular, who are not members of either parent association.

Student MembersPersons registered full-time at a recognized university or college

Institutional MembersOrganizations or Institutions interested in assisting the Society in achieving its aim.
Article IV - OfficersThe Officers of the Society, who shall be full or associate members, shall be a President, First Vice-President, Second Vice President, Secretary, Treasurer, a Program Coordinator and an Industrial Liaison Coordinator. Normally, the first Vice-President will be designated as the representative to the American Statistical Association Council of Chapters. The other Officers shall be duly elected during the annual general meeting, except that the Executive Committee shall fill any vacancy, which may occur between elections, in any office. The Officers shall assume office at the beginning of the Year of Operation, and shall serve until the end of the Year of Operation.
The executive committee shall appoint one or more full members of the ASA to fill the positions of President, Secretary and Treasurer for the Montréal Chapter of the ASA, and one full member of the SSC to fill the position of President of the Montréal Regional Association of the SSC.
Article V - Year of OperationThe Year of Operation of the Society shall commence on the First day of January of a year and shall end on the Final day of December of the following year.
Article VI - Executive CommitteeThe Executive Committee of the Society shall consist of the President, two Vice-Presidents, Secretary, Treasurer and, when available, the most recent Past-President and the President-Elect. Meetings of the Executive Committee shall be held whenever called by the President or when requested by any two members of the committee.
Article VII - MeetingsThere shall be two or more regular meetings during the course of the year of operation, one of which shall be The Annual General Meeting, which shall be held at any time during the month November of the year of operation at the earliest and at which the election of officers will be held.
A special General Meeting of the Society may be called by the President, or at the signed request, in writing, of ten members in good standing, addressed to the Secretary.
All members of the Society shall be given at least seven days notice, in writing, of the Annual General Meeting and of any special General Meetings, the purposes of which shall be included in the notice.
Article VIII - Election of OfficersThe Election of Officers of the Society shall take place at the Annual General Meeting. The Election of an Officer will require the support of a simple majority of the members present. The responsibility of resolving the impasse arising out of a tied vote, for any office, shall rest with the serving President. A Nominating Committee of three members, shall be approved by the Executive Committee at least two months before the Annual General Meeting. The Nominating Committee shall present a slate of nominations. Other nominations may be sent in writing to the Secretary, to be received fifteen days before the Annual General Meeting.
Article IX - CommitteesThe Committees of the organization shall consist of such standing committees as may be appointed by the Executive Committee and such special committees as may be appointed by the President. Members of the standing committees shall be appointed by their Chairs, with the unanimous approval of the President, and shall serve until their successors are appointed.
Article X - National ConstitutionsAny and all provisions of the Constitutions of the American Statistical Association and the Statistical Society of Canada shall be considered included herein for use where applicable and necessary. Any ambiguities or contradictions arising out of this joint referencing shall be resolved by the executive committee.
Article XI - AmendmentsThis Constitution may be amended by a two-thirds majority of the Chapter members present at any meeting of the Society, provided notice of such meeting and of the proposed amendments shall have been sent to each voting member at least two weeks before the date on which the proposed amendment is to be voted upon.
Article XII - DissolutionThe Society may be dissolved if two-thirds of the members in good standing agree to it by vote, provided that the result of this vote is confirmed by the members at a special general meeting called for that purpose, and that a petition for dissolution duly signed by at least the lesser of fifty or one-half of the individual members in good standing has been received by the Secretary.
In the event of dissolution of the Society, any remaining assets assigned to the organization shall revert to the general assets of the Statistical Society of Canada.
